BREACH OF CONTRACT
Soo et al. v. Bone Biologics Corp. et. al., C. A. No. 19-cv-11520-ADB (U. S. District Ct., District of Mass.).
BRONSON LEGAL LLC represented Dr. B. Chia Soo (UCLA Vice Chair for Research, Plastic & Reconstructive Surgery) and Dr. Kang Ting (Forsyth Institute, Exec. Director of The International Orthodontics Foundation), in litigation over alleged bad faith breach of Professional Services Contracts.
Result: Cash Settlement of $750,000.00 for the Plaintiffs (2024).
Trade Libel
Callsome Solutions Inc. v. Google LLC, C. A. No. 652386/2014 (Commercial Division, N.Y. State Supreme Ct., N.Y. County).
Mr. Bronson represented an app developer whose product was wrongfully barred from the Google Play Store in a trade libel and tortious interference with contract action. Mr. Bronson’s efforts resulted in the Court issuing Orders finding serious and intentional discovery abuse by Google, forcing Google to pay almost $200,000 in sanctions (counsel fees & costs), and heavily criticizing Google’s bad faith and “chutzbah.”
Result: Significant Cash Settlement (Amount Confidential) (2020).
SECURITIES
In re Hansen Medical, Inc. Stockholder Litigation C. A. No. 16-CV-294288 (Calif. Superior Ct., Santa Clara County).
Mr. Bronson was Co-Lead Counsel for the plaintiffs in a certified stockholder class action for breach of fiduciary in connection the alleged unfair and inadequate prices paid to Hansen common stockholders in connection with a 2016 merger with Auris Surgical Robotics, Inc.
Result: Cash Settlement of $7,500,000 for the Plaintiffs (2024).
SECURITIES
New Jersey Carpenters Pension Fund v. infoGROUP, Inc., et al., C.A. No. 14-5334-VCN (Delaware Chancery Ct.).
Mr. Bronson was Co-Lead Counsel in a securities class action involving alleged breach of fiduciary duty by the board of directors in connection with the sale of infoGROUP, Inc. at an inadequate price engineered by a conflicted controlling stockholder.
Result: $13 Million Common Fund Settlement for the Benefit of Injured Common Stockholders (2014).
SHAREHOLDER DERIVATIVE LITIGATION
City of Miami Police Relief & Pension Fund v. Dreier, et. al., & The Ryland Group, Inc., C.A. No. BC411143 (Cal. Superior Ct., L.A. County).
Mr. Bronson was co-lead counsel in stockholder derivative matter against mortgage company board of directors involving the improper origination and sale of sub-standard mortgages.
Result: $1 million Cash Settlement for the benefit of the Company, plus Material Corporate Governance Reforms and Counsel Fees & Expenses (2011).
